- Currency & Taxes: All prices and subscription fees are quoted and charged in Canadian Dollars (CAD). Quoted prices exclude Harmonized Sales Tax (HST), which will be added at invoicing based on billing region.
- Compliance Duty: You retain full ownership and regulatory accountability for the data, instructions, and communication scripts you input into the platform. You must ensure your automated campaigns adhere to CASL and local telecom laws.

1. Acceptance of Terms and Eligibility
By registering an account, subscribing to a plan, or otherwise accessing our Services at SmartBizAssist.ai (the "Services"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated by reference.
1.1 Commercial Capacity
These Services are intended for commercial, B2B, or professional business operations. By using the Services you represent and warrant that you are registering on behalf of a legally recognized business entity or as a registered sole proprietor and have authority to bind that entity.
2. Account Registration, Fees, and Taxes
2.1 Account Security
You are responsible for maintaining the confidentiality of your credentials, API keys, and multi-factor authentication. You accept liability for actions, automated routing, and credit consumption initiated under your account.
2.2 Currency & Pricing Structures
All fees, subscription rates, usage metrics, and add-on costs are denominated in CAD.
2.3 Tax Application (HST)
All listed prices exclude HST. Applicable taxes will be added at checkout based on your billing address.
2.4 Subscription Renewal & Cancellation
Subscriptions renew automatically on the selected billing cycle until cancelled. Cancellation requests must be processed via the user dashboard or emailed to Support@smartbizassist.ai prior to the next billing date. Fees are non-refundable and partial periods are not pro-rated unless stated otherwise.
- Free trials, promotional credits, and beta access may be modified or discontinued at our discretion.
- Upgrades, downgrades, overages, or plan changes may alter fees or functionality effective immediately or at the next renewal.
- Failed payments or chargebacks may result in suspension or termination after notice.
3. Data Governance & Privacy Roles
3.1 Data Roles
You act as the Data Controller determining processing instructions; SmartBizAssist acts as the Data Processor.

3.3 AI Model Training Restriction
We do not use identifiable Customer Content or live end-user communications to train generalized AI models for unrelated third parties.
3.4 Privacy Policy Consistency, Retention, and Sub processors
See our Privacy Policy for details on retention, sub processors, and user rights. Third-party integrations may impose additional terms and fees.
4. Telephony and Communications Compliance (CASL)
When using voice agents, missed-call text-backs, or SMS sequences you assume regulatory liability and must comply with CASL and carrier rules. You must maintain consent records and suppression lists.
5. Artificial Intelligence Limitations and Warranties
AI outputs are probabilistic. You must supervise automated flows and not rely on the platform for high-risk, emergency, or regulated decisions.
6. Prohibited Uses
Prohibited activities include illegal use, spam, phishing, reverse-engineering, uploading PHI without a signed DPA, or other misuse described in this section.
7. Indemnification and Limitation of Liability
You agree to indemnify SmartBizAssist for claims arising from your misuse. Our liability is capped at fees paid in the prior three (3) months.
8. Term and Termination
Terms remain in force until subscriptions end. SmartBizAssist may suspend or terminate for breaches, CASL violations, or non-payment. Data deletion timelines are 30–60 days post-termination unless legal retention is required.
9. Governing Law and Dispute Resolution
These Terms are governed by the laws of Ontario, Canada. Disputes will be resolved in courts located in Brampton or Toronto, Ontario.
